Reseller Agreement

1. Enrollment and approval

Enrollment in the Program requires an application through /partners/signup. We may approve, reject, or request additional information (including business details, for fraud-prevention purposes) before granting Program access, at our discretion.

2. Scope of the Program

The Program lets you provision BuyProxy access to your own end customers through an embedded dashboard, and earn commission on their usage. You do not receive ownership of any BuyProxy infrastructure, trademarks, or intellectual property beyond the limited license described below.

3. Commission and payouts

• Commission rates depend on your Reseller tier and are shown in your Reseller dashboard; we may update rates going forward with notice through the dashboard or by email.
• Payouts are calculated on collected, non-refunded revenue from your end customers and are issued on the schedule shown in your dashboard, subject to any minimum payout threshold.
• You are responsible for providing accurate tax information; we may issue tax forms (such as a 1099-NEC for US-based resellers) where required by law.
• We may withhold or reverse commission attributable to fraudulent, abusive, or refunded transactions.

4. Reseller obligations

• Comply with our Acceptable Use Policy and Terms of Service, and ensure your end customers do too — you are responsible for your customers' compliance.
• Do not misrepresent your relationship with BuyProxy, make claims about the Service we haven't authorized, or guarantee outcomes we don't offer directly.
• Do not resell access outside the Program's embedded dashboard or attempt to circumvent Program pricing and commission tracking.
• Provide first-line support to your own end customers; escalate platform-level issues to BuyProxy support.

5. Trademark use

You may reference BuyProxy by name and use our logo solely as described in our Brand Kit (buyproxy.org/brand) to describe your reselling relationship. You may not imply that you are BuyProxy itself, or register domains, trademarks, or social handles confusingly similar to ours.

6. Independent relationship

You and BuyProxy are independent contracting parties. Nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship. You have no authority to bind BuyProxy to any obligation.

7. Term and termination

This Agreement continues until terminated by either party. You may leave the Program at any time from your dashboard. We may suspend or terminate your Program access for violation of this Agreement, our Acceptable Use Policy, or Terms of Service, or if we discontinue the Program generally (with reasonable notice where practical). Commission earned prior to termination for legitimate, non-reversed transactions remains payable on the normal schedule.

8. Confidentiality

Non-public information shared between the parties in connection with the Program (including commission rates and Program terms not published publicly) should be treated as confidential and not disclosed to third parties without consent, except as required by law.

9. Changes to this Agreement

We may update this Agreement from time to time; material changes will be communicated via your dashboard or email with reasonable advance notice before they take effect.

10. Governing law

This Agreement is governed by the same governing law provision as our Terms of Service.
